CovertAgent, LLC Sites herein referenced as "Company Product or Service" refers to any CovertAgent, LLC dba website or domain offering real estate product or service. By accessing, purchasing, subscribing, uploading content, or interacting with any "Company Product or Service", you agree fully to these Terms and Conditions. If you disagree, do not use our Sites or Services.

Definitions:

Membership: Subscription-based recurring payments covering bundled services such as real estate websites, IDX solutions, photo editing, virtual tour builders, hosting, and marketing services from our "Company Product or Service".

Products or Services: Real estate software, real estate brokerage/broker/team/agent website, real estate marketing service, real estate crm, real estate transaction management, property websites, virtual tours, real estate idx, real estate photo editor, photographer platform, reseller white label real estate platform, area property website, home value website, real estate listing presentation, real estate cma software, neighborhoods, schools, area attractions or other real estate related "Company Product or Service".

Credits: Prepaid units redeemable solely for products/services; non-refundable after purchase.

Client/User: Individual or entity utilizing our services.

Membership, Billing, and Services:

Membership subscriptions, monthly hosting, and internet marketing services incur billing every 30 days starting from initial signup. These charges commence immediately upon signup, regardless of the website’s live date. Credits purchased are non-refundable and redeemable only for CovertAgent products/services.

Domain Names:

Domains purchased by CovertAgent, LLC are CovertAgent's property until the Client pays all associated fees and at least one full year of hosting. All domain sales, renewals, or transfers initiated by CovertAgent are final and non-refundable. CovertAgent bears no responsibility for domain availability or renewals. Domain renewals remain the Client’s sole responsibility.

Managed Monthly Service Plans:

Managed service plans include periodic content updates at a “reasonable maximum” workload based on an hourly rate ($59/hr). Additional services include managed hosting, Covert IDX integration, support via phone, chat, and email, access to webinars and community groups, and potential promotional features.

No long-term contract is implied unless explicitly agreed upon. All service fees are month-to-month unless otherwise stated.

Managed PPC/SEM Services:

Managed PPC services include campaign creation, monitoring, bid adjustments, and optimization. Results are not guaranteed; services are provided based on industry best practices.

Refund and Cancellation Policies:

Membership and service purchases (excluding domains or credits) may be canceled within 7 days for a full refund if not satisfied. Cancellations must be submitted in writing to [email protected]. Service remains active through the end of the billing period; no prorated refunds will be provided. All charges before the cancellation date are payable in full.

Failed Billing Policy:

Clients agree to pay a $25 late/restoration fee if billing fails after three attempts (initial billing, day 3, and day 7).

Indemnification & Copyright Liability:

User-uploaded Content: Users must own or have explicit rights and permissions for all content (images, videos, files, etc.) uploaded. By uploading content, users indemnify and hold harmless CovertAgent, LLC and its affiliated entities against all copyright, trademark, patent, or privacy infringement claims arising from user-uploaded material. Users agree CovertAgent, LLC assumes no liability for such claims.

Photo/Image Upload Policy:

Prior to uploading images or content to our "Company Product or Service" website, users must ensure one of the following applies:

Own Work: You created the image yourself.
Properly Licensed: You have explicit commercial-use rights to the image.
Public Domain: Images free from copyright.
Fair Use: Clearly qualifies under Fair Use, with a clear rationale.

Images of identifiable individuals require consent (model releases) if taken in non-public settings.

User Obligations & Licensing:

CovertAgent, LLC grants users a limited, revocable, non-transferable, non-exclusive license to access our services solely as described herein. Users may not redistribute, reverse engineer, sublicense, or commercially exploit CovertAgent’s proprietary systems, code, databases, or materials.

Warranty Disclaimer & Liability Limitations:

All services, products, and materials are provided "AS IS," without explicit or implicit warranties, including merchantability or fitness for any purpose. CovertAgent, LLC and affiliates are not liable for direct, indirect, incidental, or consequential damages resulting from service interruptions, data loss, user-uploaded content, or third-party claims.

In jurisdictions that limit liability disclaimers, CovertAgent's liability is limited strictly to the fees paid by the user within the current billing cycle.

Tort Waiver:

Clients expressly waive all tort-based claims against CovertAgent, LLC, its subsidiaries, officers, employees, and affiliates, acknowledging the relationship is strictly contractual.

Indemnification:

Clients agree to defend, indemnify, and hold harmless CovertAgent, LLC, and its directors, officers, employees, and agents from all claims and legal fees arising from client-uploaded content, breaches of this agreement, or negligence toward third parties.

Amendments to Terms:

CovertAgent, LLC may modify these Terms at any time. Changes are effective immediately upon posting. Continued use of our services after amendments indicates user acceptance.

Agreement to Terms:

By making payments, submitting content, or interacting with any of CovertAgent’s websites, "Company Product or Service", clients explicitly acknowledge agreement with these terms.
